TERMS & CONDITIONS

Welcome to The Baby Cot Shop, operated by Little Sequoia Ltd.

These terms and conditions apply to any sales transactions conducted and website activities. Your statutory rights as the buyer are not affected by these terms and conditions.
We reserve the right to adjust any product prices, specifications, and availability at any time without notification. Any revisions to this subject matter, or product details supersede all listed in previous publications or agreements.
By accessing the website and/or engaging in sales activities, you signify your agreement to adhere to these Terms & Conditions.

1. Interpretation

This Agreement is subject to the following definitions and rules of interpretation stated in this clause.
In these Terms & Conditions, the following words and expressions shall have the following meanings:
“Company, we, us, and our” refer to Little Sequoia Ltd trading as The Baby Cot Shop.
“Contract or Order” – means any contract or sales order (the terms and conditions of which are detailed herein) between the Company and the Customer for the sale of Goods and for works done to the Goods by the Company and for any drawing undertaken by the Company for the Customer or any service provided for the Customer by the Company.
“Customer” – means the individual or partnership body corporate whether limited or other, whose name and address appear on the Customer Confirmation Order.
“Terms and Conditions” – means those terms and conditions contained herein which apply to all contracts for the sale of Goods to a Customer and/or works done to goods for a Customer and/or for drawings undertaken for a Customer.
“Bespoke” – Goods made in a fabric of your choice or subject to any form of customized design at your request.
“Clearance Item” – A product sold at a reduced price compared to what is advertised on our website and as a direct consequence of warehouse or showroom clearance.
“Customised” – The modification of any dimensions, stitching’s or cushion fillings that deviate from what is shown on our website.
“Delivery Note” – A document provided by us stating ‘Delivery Note.’
“Domestic Purposes” – Any use of the product at a residential home and not used in connection with running any form of business.
“Good(s)” – Any chairs, sofas, beds, footstools, benches, cushions, or related furniture products shown on our website, including accessories, rugs, and fabrics.
“Product(s)” – This has the same definition as Good(s).
“Sales Order” – A document provided by us stating ‘Sales Order.’
“Standard Range” – Any products or goods shown on our website.

2. Contract – Basis of provisions of Goods/Service

2.1 These Terms and Conditions of Sale (Agreement) apply to all customer orders/contracts between Little Sequoia Ltd trading as The Baby Cot Shop (we/us/our), and the Client (you/your), and concern all sales of products and services.
2.2 Any sales order placed with us either verbally, in writing, via purchase order, or electronic communication is accepted as official and binding and is subject to our Terms & Conditions.
2.3 Additions or alterations to orders save as set out in 2.2 above, however placed, shall not be binding until confirmed in writing by the Company and may be subject to extra charges.
2.3 Any clerical, typographical, or other error or omission in any sales quotations, literature, price list, invoice, acceptance of offer, or other documents issued by us is subject to correction without any form of liability on our part.
2.4 Any external Terms & Conditions submitted in any format to Little Sequoia Ltd trading as The Baby Cot Shop, or deemed provided as part of the sales order will not be accepted under any circumstances signed or not. Any variance to Little Sequoia Ltd trading as The Baby Cot Shop T&C’s will not be accepted or implemented unless underwritten agreement by a Director of the company.

3. Product Specifications

3.1 We have a policy of constant Product Development and reserve the right to amend Product Specifications without prior notice in relation to future sales.
3.2 Goods supplied may differ from those advertised or on display. Unless specifically agreed with you, the Products supplied are of equal value, appearance, and functionality. If there are any substantial variations, they will be highlighted on the display model.
3.3 We will do our upmost to match the finish and color of any Customer samples provided or those chosen, but variations in both color and texture might occur due to the nature of hand finishing and materials used.
3.5 Other materials such as wood, metal, glass, and stone may be subject to variances in appearance and any images submitted are to be used as a guide only.

4. Measurements & Dimensions

4.1 The dimensions of all Products provided by Little Sequoia Ltd trading as The Baby Cot Shop are as accurate as possible but are nevertheless guidance.
4.2 All drawings supplied serve as a guide only and are not to be scaled. The dimensions indicated are subject to variation due to bespoke hand-made production using natural materials, Little Sequoia Ltd trading as The Baby Cot Shop will, therefore, not be held responsible for any reasonable variances in dimensions listed.
4.3 The Company accepts no liability in respect of goods being of dimensions unsuitable for the Customer's premises or if access to the Customer's premises is impossible or impracticable save in circumstances where the Company has inspected and/or measured the Customer’s premises and access thereto.
4.4 Variations to product dimensions may be subject to additional charges and subject to both the number of changes required and the complexity.

5. Prices & VAT

All prices are subject to VAT at the prevailing rate.
5.1 All prices quoted are ex-works; packaging costs shall be at the discretion of the company and may be subject to charge dependent on the type required.
5.2 Prices quoted are valid for a period of 60 days from quotation.
5.3 Little Sequoia Ltd trading as The Baby Cot Shop shall apply interest to outstanding invoices at the rate of 4% per annum above the base rate from time to time of Barclays Bank Plc, from the due date until payment is received in full. This is without prejudice to the company’s right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998.
5.4 Unless otherwise stated all prices are based on costs prevailing at the time of quotation and the Company reserves the right to increase prices to reflect any increase in such costs.
5.5 Prices are quoted in pounds sterling and payments must be made in pounds sterling.
5.6 All custom duties, local taxes, and other import costs arising outside the United Kingdom shall be borne by the Customer. A quote will be provided by the company on request.
5.7 Little Sequoia Ltd trading as The Baby Cot Shop reserves the right to correct any errors or omissions in quotations, order confirmations, invoices, or other documents issued by us.

6. Payment

6.1 A deposit is required to confirm an order. The deposit amount varies based on the nature of the Goods and/or Service.
6.2 Deposits are non-refundable.
6.3 The balance is due upon completion of works, before delivery, or collection.
6.4 Any Bespoke or Customised items must be paid for in full upon placing the order and are non-refundable.
6.5 The Company is not obliged to commence any works until the deposit has been received.
6.6 For domestic customers, full payment is required before delivery or collection.
6.7 For international customers, full payment, including any additional shipping charges, must be received before goods are dispatched.
6.8 Payments can be made by credit/debit card, bank transfer, or cheque. Card payments can be made in the showroom or over the phone.
6.9 Any late payments may result in delayed production and delivery.
6.10 Little Sequoia Ltd trading as The Baby Cot Shop reserves the right to refuse delivery of Goods until full payment is received.

7. Ownership & Risk

7.1 Ownership of the Goods remains with Little Sequoia Ltd trading as The Baby Cot Shop until full payment is received.
7.2 Risk in the Goods passes to the Customer upon delivery.
7.3 If any payment is overdue, the Company may, without prejudice to any other rights, recover and/or resell the Goods or any of them and may enter the Customer’s premises for that purpose. The Customer grants an irrevocable license to the Company, its agents, and employees to enter any premises where the Goods are stored in order to repossess them.

8. Delivery

8.1 Delivery dates are given in good faith, but are an estimate only.
8.2 Time for delivery shall not be of the essence.
8.3 The Company shall not be liable for any delay in delivery of the Goods caused by circumstances beyond its control.
8.4 Delivery will be made to the address specified by the Customer at the time of order.
8.5 The Customer is responsible for ensuring that there is suitable access to the delivery address and for ensuring that the Goods will fit into the premises. Any additional costs incurred in delivering the Goods to the premises shall be borne by the Customer.
8.6 If the Customer is unable to accept delivery of the Goods at the agreed time, the Company may charge a re-delivery fee.
8.7 If the Goods are damaged in transit, the Customer must notify Little Sequoia Ltd trading as The Baby Cot Shop in writing within 7 days of receipt of the Goods. The Company will not be liable for any damage reported after this period.

9. Returns, Refunds & Cancellations

9.1 Goods made to the Customer’s specification, Bespoke, or Customised items cannot be returned or cancelled once the order is confirmed and the deposit is paid.
9.2 Standard Range items can be returned within 14 days of delivery, provided they are in the original packaging and in a saleable condition.
9.3 Returns must be notified to Little Sequoia Ltd trading as The Baby Cot Shop in writing within 14 days of delivery.
9.4 Any refunds will be processed within 14 days of the Goods being received by us.
9.5 The cost of return shipping will be the responsibility of the Customer.

Custom Made, bespoke products or made to order items like personalised gifts, made to order furniture, furnishings, fabric, wallpaper are non-returnable, non-refundable and can not be exchanged. All goods must be inspected immediately following delivery and will be repaired or replaced free of charge if found to be defective or damaged in any way arising from defects in manufacturing or delivery by our representatives. This warranty does not apply to any defect arising from fair wear and tear, wilful damage, accident, negligence by you or any third party, use otherwise than as recommended by The Baby Cot Shop, failure to follow The Baby Cot Shop’s instructions on aftercare or any alteration or repair carried out without our approval. Occasionally, delays occur which are outside of our control such as production or shipping delays. We will not allow a cancellation in such circumstances and all efforts will be made to expedite the delivery of your items.

10. Confidentiality

10.1 The Company and the Customer shall keep confidential any information obtained from the other pursuant to this Agreement.
10.2 This clause shall not apply to information that is already known to the receiving Party at the time of disclosure or becomes public knowledge other than by a breach of this Agreement.

11. Limitation of Liability

11.1 To the extent permitted under the law governing this Agreement, neither Party nor any of their respective directors, officers, employees, or agents shall be liable to the other Party for any indirect or consequential damages, or any loss of profits for breach of or otherwise in connection with this Agreement.
11.2 The exclusion of liability for consequential damages in clause 11.1 will not apply to limit a Party’s liability:
(a) for a breach of Clause 10 (Confidentiality);
(b) for any indemnity provided by the Client in relation to breach of Intellectual Property Rights under clause 7.1; or
(c) for any act or omission by a Party or its Affiliates, employees or agents which act or omission constitutes gross negligence, wilful default or fraud.
11.3 Notwithstanding any other provision of this Agreement, to the maximum extent permissible by law the Supplier's entire aggregate liability under this Agreement shall not exceed to an amount equal to the amount paid by the Client in respect of the Fees provided that this clause 11.3 shall not exclude or limit the Supplier’s liability for:
(a) death or personal injury caused by the Supplier’s negligence; or
(b) fraud or fraudulent misrepresentation.

11.4 You acknowledge that:
(a) all sales contemplated or concluded under these Conditions shall be on a business-to-business basis, and any Goods purchased hereunder are purchased for business purposes only. As a business customer, purchases made under the Contract will not benefit from the same statutory protection available to consumers under the Sale of Goods Act 1979 (as amended) and other related consumer legislation;


12. Intellectual Property Rights

12.1 The Baby Cot Shop and its licensors own and shall retain ownership of all Intellectual Property Rights in the Materials.
